KEMNAY FOOTBALL CLUB. Club Constitution 1. The
name of the club shall be Kemnay Football Club. 2. The
aims and objectives of the club will be to encourage and develop the football
talents of its youth members. 3. It may
participate in any league affiliated to the S.Y.F.A. as decided by the
Management Committee. 4. The
Management of the Club shall be vested in a Management Committee of up to 9
members, consisting of a chairperson elected at the AGM. 4 Parents / guardians
who do not have a formal involvement with any of the teams, and 4 members
elected from the Football Managers and Coaches of the Club. All playing age
groups should aim to be represented. 5.
Committee members shall be elected annually at the AGM by any member of the Club
present at the AGM. A member shall be any person who is a parent / guardian of a
youth member, a Manager / Coach of the club, or existing Committee Member. 6. The
Management Committee may appoint sub committees as necessary and shall determine
their terms of reference, powers, duration and composition. All acts and
proceedings of such sub-committees shall be reported back to the Management
Committee as soon as possible. 7. A fund
Raising Sub-Committee shall aim to consist of at least one parent/guardian from
each age group and will be chaired by a member of the Management Committee. 8. The
Management Committee will be responsible for reviewing accepting and approving,
or otherwise, all Football Manager and Coaching positions.
Football Managers and Coaches will be responsible to the Management
committee for their conduct and the conduct of their respective teams while
representing Kemnay Football Club. 9. All
members of Kemnay Football Club will be required to observe and adhere to the
rules, regulations and accepted findings of the SYFA at all times. 10. All
members of Kemnay Football Club will promote and foster a positive sporting and
fair attitude while representing Kemnay Football Club. 11. Youth
members can be drawn from any area but no more than 50% in each age group can
come outwith the area of Kemnay, Middle and Upper Donside. 12. The
committee shall elect the following Office Bearers:-
a) Vice-Chairperson
b) Secretary, and
c) Treasurer
And shall be responsible for the administration of all club rules,
including any changes. 13. The
Office of any of the Office Bearers: - Chairman, Vice-Chairman, Secretary and
Treasurer shall not vest in one person for a period exceeding 3 consecutive
years. 14. The
Management Committee shall have the power to co-opt other persons, or members,
(to a maximum of 3) as they consider necessary to further the Kemnay Football
Club's aims and objectives. 15.
At least 50% of the Management Committee Members are required to form a
quorum. 16. On all
voting matters, members shall have one vote, decisions being made on a simple
majority. In the event of a tied vote, the Chairperson shall have the casting
vote. 17. All
monies raised by or on behalf of the Kemnay Football Club shall be applied to
further the aims and objectives of the club, and for no other purpose, excepting
the payment of fees to professional and technical advisers. No payment shall be
made to members of the Management Committee or of any committee or sub-committee
including registered Football Managers or Coaches other than reasonable out of
pocket expenses. 18. A
bank/building society account shall be opened in the name of Kemnay Football
Club as the Management Committee shall decide. The Management Committee shall
authorise, in writing, three members of the Management Committee, one of whom
shall be the Treasurer, to sign cheques on behalf of Kemnay Football Club. All
cheques must be signed by not less than two of the three authorised signatories. 19.
Accounts shall be audited annually and shall be available for inspection at any
time by any member. 20.
Alterations to the Constitution can only be made at the AGM or at an
Extraordinary General Meeting call for that specific purpose and attended by
two-thirds of the Management Committee. 21. If the
Management Committee by a simple majority decide at any time on the ground of
expense or otherwise it is necessary or advisable to dissolve Kemnay Football
Club, it shall call a special general meeting of which meeting not less than 21
days notice (stating the terms of the resolution to be proposed thereat) shall
be given. 22. If the
decision is confirmed by two-thirds majority of those present and entitled to
vote, the management Committee shall have power to dispose of any assets held by
or on behalf of Kemnay Football Club. Any assets remaining after the
satisfaction of any proper debts and liabilities shall be given or transferred
to such other charitable organisations having aims and objectives similar to
those of the present Association as the committee may determine. 23. The
Management Committee shall arrange an annual presentation of trophies which may
or may not take place at the AGM. 24. The
business of the AGM shall include:-
a) Chairman's Report on the Club since the last AGM.
b) Treasurer's Report.
c) Manager / Coaches Report on each team.
d) The determination of subscription fees for the following season.
e) Election of a Chairperson, and Management Committee members.
f) Any other competent business 25.
Adoption This
constitution was certified as a "true copy" and adopted by the
Management Committee at a General Meeting of Kemnay Football Club on
